1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and AuthenCoreAI Inc. ("AuthenCore AI", "we", "us", "our"), a corporation incorporated in the Province of Ontario, Canada. They govern your use of authencore.ai and related websites, the AuthenCore AI and A-Pulse® applications, and the parking and payment services we provide (together, the "Services").

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

To use the Services, you must:

  • be at least the age of majority where you live;
  • be able to form a binding contract;
  • have the right to use each vehicle you register; and
  • have the right to use each payment method you add.

If you use the Services on behalf of a business, you confirm that you are authorized to accept these Terms for that business.

3. The Services

AuthenCore AI provides a vehicle identity and payment platform. When you park at a participating location, the Services can detect your arrival, start a parking session, calculate the charge, and process payment on your behalf.

AuthenCore AI acts as a payment facilitator between you and the operator of each participating location. We do not own or operate parking facilities. The operator is responsible for the facility, its rules, its posted rates, and its signage.

The Services are available only at participating locations shown in the App. Features, locations, and availability may change, and some features may be offered as a pilot or beta.

4. Your account and vehicles

  • You must give accurate, current information and keep it up to date, especially your licence plate, plate province or state, and payment details.
  • An incorrect plate can result in a parking ticket. You are responsible for making sure the right vehicle is registered and selected for each session.
  • You are responsible for keeping your login details secure and for all activity under your account. Tell us right away at the contact below if you suspect unauthorized use.
  • You may register more than one vehicle. If you remove a vehicle or sell it, remove it from your account.

5. Parking sessions and payment

How a session works

  1. Start: when you arrive at a participating location with location access enabled, the App starts a session for your selected vehicle. You may also start one manually where the operator allows it.
  2. Authorization hold: when a session starts, we may place a temporary authorization hold of up to CAD $25 on your payment method. This is not a charge. It is released or adjusted when the session is paid.
  3. End: a session ends when the App detects your vehicle has driven away, when you end it in the App, or when the operator ends it. Walking away from your vehicle with your phone does not end the session.
  4. Charge: the final amount is charged to your payment method and a receipt is sent to you.

Pricing

  • Rates are set by each operator and shown in the App before or at the start of a session. They may include per-minute rates, minimum charges, daily maximums, and free or grace periods.
  • AuthenCore AI charges a convenience fee of 0.5% per transaction, shown on your receipt.
  • Applicable taxes are added as required by law.
  • All amounts are in the currency shown in the App, which is Canadian dollars for locations in Canada.

Payment

  • You authorize us and our payment processor, Stripe, to charge your selected payment method for each session, plus fees and taxes.
  • Your card details are tokenized by our payment processor. We do not store full card numbers.
  • If a payment fails, we may retry it, ask you to update your payment method, and suspend automatic sessions until the balance is paid.
  • Your card issuer may charge its own fees, such as foreign transaction fees. We are not responsible for those fees.

6. Your responsibilities when parking

The Services make paying easier, but you are still responsible for parking lawfully. In particular, you must:

  • follow all posted signs, time limits, and rules at each location, including permit, accessible, loading, and no-parking zones;
  • check that a session has started in the App, especially in areas with weak GPS or mobile signal, such as underground or multi-level garages;
  • make sure the correct vehicle and plate are selected; and
  • keep location access and notifications on for automatic sessions to work.

Tickets and enforcement

Where a location is covered by municipal enforcement, we share your session status with the city so enforcement can see your vehicle is paid. However, operators and municipalities make their own enforcement decisions. We are not responsible for parking tickets, towing, or other penalties, including those caused by an incorrect plate, an unstarted session, signal loss, or a violation of posted rules.

If you believe you were ticketed while a valid session was active, contact us. We will provide your session record to help you dispute the ticket with the issuing authority.

7. Disputes and refunds

  • If you think a charge is wrong, for example a session that did not end when you left, submit a dispute in the App or contact us within 30 days of the charge.
  • We will review the session record, location data, and information from the operator, and respond within 10 business days.
  • If we find an error, we will refund or adjust the charge to your original payment method. Refunds may take several business days to appear, depending on your card issuer.
  • Please contact us before disputing a charge with your bank, so we can resolve it quickly.
  • Charges for sessions that were correctly recorded under the operator's posted rates are not refundable.

8. Acceptable use

You agree not to:

  • register a vehicle or payment method you are not authorized to use;
  • use the Services to avoid paying for parking, or interfere with how sessions are detected, for example by spoofing your location;
  • access, copy, reverse engineer, or interfere with the Services, our systems, or other users' accounts, except as allowed by law;
  • use the Services for any unlawful purpose; or
  • misrepresent your identity or affiliation.

We may suspend or close accounts that break these rules.

9. Intellectual property

The Services, including the software, design, content, and the A-Pulse®, AuthenCore AI, and V-Commerce™ names and logos, belong to AuthenCore AI or its licensors and are protected by law. We give you a limited, personal, non-exclusive, non-transferable, revocable licence to use the App and Services for their intended purpose under these Terms. All other rights are reserved.

If you send us feedback or suggestions, we may use them without any obligation to you.

10. Third-party services

The Services rely on third parties, including operators, municipalities, payment processors, mapping providers, and mobile networks. We are not responsible for their facilities, decisions, services, or outages. Your use of Stripe is also subject to Stripe's own terms.

11. Disclaimers

We work hard to make the Services reliable, but location detection depends on GPS, mobile signal, and your device, and may not always be accurate. To the extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and uninterrupted or error-free operation. Some jurisdictions do not allow these exclusions, so some may not apply to you.

12. Limitation of liability

To the extent permitted by law:

  • AuthenCore AI is not liable for indirect, incidental, special, consequential, or punitive damages, or for parking tickets, towing, lost time, or lost profits; and
  • our total liability for any claim relating to the Services is limited to the greater of (a) the fees you paid to AuthenCore AI in the 12 months before the claim, or (b) CAD $100.

Nothing in these Terms limits liability that cannot be limited by law, including your rights under applicable consumer protection laws.

13. Indemnity

To the extent permitted by law, you agree to indemnify AuthenCore AI against claims and costs arising from your misuse of the Services, your breach of these Terms, or your violation of any law or the rights of others.

14. Ending your use of the Services

  • You can close your account at any time in the App or by contacting us. Any active session must end and any outstanding balance must be paid first.
  • We may suspend or close your account if you break these Terms, if payments repeatedly fail, if required by law, or if we stop offering the Services. Where reasonable, we will give you notice first.
  • Sections that by their nature should continue, such as payment obligations, disclaimers, limitation of liability, and governing law, survive after your account closes.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. You and AuthenCore AI agree to the jurisdiction of the courts of Ontario, unless the consumer protection laws where you live give you the right to bring a claim in your local courts.

16. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, for significant changes, notify you in the App or by email at least 30 days before they take effect. If you keep using the Services after that, you accept the updated Terms.

17. General

These Terms and our Privacy Policy are the entire agreement between you and us about the Services. If any part is found unenforceable, the rest stays in effect. Our failure to enforce a term is not a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition, or sale of assets. These Terms are written in English.
